Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to novahelm for the specific service giving rise to the claim in the twelve months preceding the claim.
This limitation of liability does not apply to damages caused by our gross negligence or wilful misconduct, or where prohibited by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless novahelm, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:
- Your use of our services in violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights
- Any content or data you provide to us
Data Protection

Termination

- Required by law or regulatory authorities

Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or internet service provider failures.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dortmund, Germany.
If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.
Dispute Resolution
Before initiating any formal legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with you to find a mutually acceptable solution.
For disputes that cannot be resolved through direct negotiation, we may agree to participate in mediation or arbitration as an alternative to court proceedings, subject to mutual agreement on the specific process and rules.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
Entire Agreement
These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and novahelm regarding the use of our services and supersede all prior agreements and understandings.

These Terms of Service are governed by German law and are available in English. In case of any discrepancies between different language versions, the English version shall prevail.
